TechTarget is seeking a full time Administrator/Paralegal who will be a key member of the Legal team, reporting to the General Counsel. This individual will be engaged with sales and vendor contract activity, administration, corporate governance, securities filings, intellectual property management, and general administrative organizational needs within the Legal department of a global, publicly-traded online media company. 

Essential Job Functions:
  • Review, approval, drafting and negotiation of customer Terms and Conditions, Purchase Orders, Insertion Orders and Statements of Work to support sales of media and related products;
  • Interface with the Finance department regarding sales and operational matters;
  • Assistance with review and negotiation of vendor agreements, including NDAs and terms and conditions;
  • Assistance with management of insurance coverage and renewals;
  • Assistance with management of real estate leases and locations;
  • Preparation and filing of Forms 3, 4, and 5;
  • Preparation of certifications and subcertifications to support the Company’s quarterly SEC filings;
  • Preparation of documents related to proxy statement and annual stockholders meeting;
  • Organization of quarterly earnings calls, including scheduling and interface with vendors and analysts;
  • Organize and track Board of Directors and Stockholder activities, including maintenance of corporate calendar;
  • Assist in preparation of board materials;
  • Maintain corporate record books, including subsidiary books;
  • Maintain compliance calendar
  • Track and manage annual reporting requirements and related meetings of subsidiaries
  • Track compliance of U.S. locations including annual filings and reports
  • Responsible for insider trading and ethics compliance including quarterly reminders of trading window and managing trading process;
  • Manage outside legal bills and other company vendors in support of legal functions;
  • Responsible for maintaining all Legal department files;
  • Selected administrative support of other executive team members;
  • If experienced in trademark matters, assist in management of trademark portfolio;
  • Assist with copyright infringement matters; 
  • Assist with global privacy matters, including privacy research and support of sales teams;
  • Assist with special projects as needed.
Knowledge, skills and abilities required:
  • Bachelor's degree;
  • 2+ years’ of  relevant experience;
  • Strong computer, Microsoft Outlook and Excel;
  • Excellent communication skills, both written and verbal, and ability to interact with diverse groups across multiple functions and areas;
  • The ability to prioritize/organize in a fast-paced environment;
  • The ability to maintain confidentiality of assignments and information;
  • Excellent organizational skills and strong attention to detail;
  • Consistency and Reliability;
  • Ability to work both independently and as a team member.
